General Terms and Conditions for Online Sales

Scope 

These General Terms and Conditions of Master Hockey, a division of Skills4Hockey GmbH, Davos Platz, ("Skills4Hockey"), apply to all orders submitted or presented by you for any item, service, or subscription offered to you through or via the shop4hockey.ch website (referred to as "Products" in these General Terms and Conditions), including but not limited to hardware devices, accompanying items and accessories, products or accessories containing pre-installed software ("Hardware"), and services offered by Skills4Hockey from time to time ("Services"), including internet-based services, location-based services, data services, real-time information services, or the provision of other data, information, (third-party) functionality, or content, whether provided as part of a subscription ("Subscription") or on a prepaid basis and delivered in one or more parts.

Price and Paymen

a) Prices specified on the website include VAT unless otherwise stated. Shipping and handling fees (if applicable) may be charged in addition to the price listed on the website. You are responsible for all local sales taxes and other taxes and government levies associated with the order. Prices may change at any time but will not affect orders for hardware (pre-installed) software ("Software") or services made before this date. 

b) All orders must be paid using the payment methods offered by Skills4Hockey ("Payment Service"). To place orders and use the payment methods, you must provide details of your payment method, billing and shipping address (if applicable), and/or any other details necessary to complete the order. 

c) If, for any reason, payment fails, Skills4Hockey will send you an invoice for the amount to be paid by post or email. This invoice must be paid by bank transfer, PayPal, or credit card within 14 days.

Orders 

a) All submitted orders are subject to approval by Skills4Hockey. The contract is only concluded upon the approval of Skills4Hockey in the form of an order confirmation.

 b) Skills4Hockey reserves the right to reject all or part of any orders or impose a maximum order quantity. 

c) All orders for hardware are subject to stock availability.

Delivery and Transfer of Risk 

a) Skills4Hockey will make every effort to deliver the product within 30 days from the order acceptance, unless otherwise specified. If multiple products are ordered, Skills4Hockey has the right to deliver each product separately.

b) Products will be delivered to either your delivery address, delivery possession, or electronically. The risk of loss or damage to the products is transferred to you at the time when your products have been delivered.

c) If you refuse or fail to accept the delivery of the products, Skills4Hockey has the right to charge you for the storage costs until the product can be delivered.

d) If delivery fails due to circumstances beyond Skills4Hockey's control, Skills4Hockey has the right to withdraw from the contract and refund a portion of the funds paid.

e) If Skills4Hockey delivers a product incorrectly, you should immediately inform Skills4Hockey of the error by email, and you should, in the interest of Skills4Hockey, arrange for the return of the product (which should be paid for by Skills4Hockey).

f) Acceptance of an unordered item does not exempt you from accepting and paying for the product you originally ordered unless expressly agreed upon with Skills4Hockey.

Hardware Cancellations 

a) Skills4Hockey allows you to cancel a purchase contract for hardware for any reason if the hardware has not been used within 14 business days after delivery to your delivery address. The purchase price will then be refunded to you. If you wish to cancel the purchase contract for hardware, you must contact Skills4Hockey by email within 14 days after delivery to obtain an RMA number. Then, you can return the hardware in the original packaging, free from all interests, liens, or other claims, to Skills4Hockey. Skills4Hockey may charge you for any shipping or postage costs incurred.

b) You agree that the execution of services by Skills4Hockey will commence immediately upon acceptance of your order by Skills4Hockey. Once the execution begins, you will not be able to cancel these services, which may include, but are not limited to, downloading, installing, or activating the services by you.

Other Limitations 

Unless otherwise permitted by applicable law, you will not, and no one will have permission to modify the products or any part of them, analyze them with technical assistance, decompile or disassemble the products, break or bypass encryption, or assist third parties in doing so.

Limited Warranty 

a) Skills4Hockey cannot and will not guarantee that the products will function without any errors or that any information provided will always be accurate.

b) Skills4Hockey provides a limited warranty that the hardware is free from defects and that the materials will be in normal use for a period of two (2) years from the date of purchase of the hardware or from the time of purchase until you violate one or more points of the General Terms and Conditions, if this period is shorter. During the warranty period, the hardware will be repaired or replaced by Skills4Hockey at no cost to you for labor and parts. If the hardware is repaired after the

"Warranty period has expired, the warranty period for repairs is set at six (6) months from the date of repair. This warranty does not extend to services. 

c) This limited warranty does not cover damage that has arisen from normal wear and tear or as a result of someone who has not been authorized by Skills4Hockey to open or repair the hardware. The limited warranty also does not cover damages caused by: misuse, moisture, liquids, proximity to or exposure to heat, accidents, abuse, non-compliance with the hardware's provided instructions, neglect, or mishandling. The limited warranty does not cover physical damage to the surface of the hardware. 

d) Skills4Hockey does not offer warranties with respect to additional products beyond those explained in section 7. In particular and to the maximum extent permitted by applicable law. Skills4Hockey and the suppliers provide the products "as is and with all faults," and hereby disclaim all other warranties and conditions, whether express or implied or statutory, including but not limited to all implied warranties, duties, or conditions of satisfactory quality, fitness for a particular purpose, reliability, and availability, accuracy or completeness of answers, results, professional efforts, absence of viruses, reasonable care and skill, reference to the products, the provision or failure of other services, information, software, similar content about the products, or otherwise arising from the use of the products. Furthermore, there is no warranty or guarantee of uninterrupted enjoyment, undisturbed possession, or non-infringement with respect to the products. This exclusion does not apply to an implied condition of ownership or an implied warranty of conformity. 

e) To make a claim for a defect under the limited warranty, you must notify Skills4Hockey of the defect by email during the warranty period in order to obtain an RMA (Return Merchandise Authorization) number if necessary. The software or hardware must be returned to Skills4Hockey's address as soon as possible after notifying them of the defect, along with an explanation of the defect. You must also follow any return procedures that also go through Skills4Hockey. 

f) This limited warranty is the only warranty we offer and is in lieu of all other express warranties or similar commitments (if any) expressed through advertising, documentation, packaging, or other communications. 

g) The provisions of this clause 7 have no impact on the sale of consumer goods in accordance with applicable national laws. 

h) This limited warranty is not transferable.

Limitation of Liability 

a) To the extent permitted by applicable law, neither Skills4Hockey nor the suppliers or subcontractors shall be liable to you or a third party for any damages, whether direct, indirect, incidental, or consequential, or otherwise (including, but not not limited to."

Limited to damages resulting from inability of use or access, data loss, business loss, lost profits, business interruption, and the like) arising from the use or inability to use the products, even if Skills4Hockey has been informed of the possibility of such damages. 

b) Regardless of any damages you or a third party may cause for any reason whatsoever (including, but not limited to, all damages mentioned herein and all damages directly or generally arising from the contract), the entire liability of Skills4Hockey and its suppliers (in relation to the products) should be limited to the amount paid by you for the relevant products. 

c) Skills4Hockey shall not be liable for fraud by employees and/or contractors; or (ii) for fraudulent misrepresentations by employees and/or contractors. 

d) Notwithstanding the above or anything else in these Terms and Conditions, nothing in these Terms and Conditions will limit the liability of both parties for death or personal injury arising from their own negligence. 

e) The above limitations of liability shall not affect any rights under applicable national regulations.

Privacy 

Skills4Hockey will not disclose information about your personal data, accounts, or connections to third parties except in accordance with a privacy policy as indicated on the website. You hereby acknowledge that you have read and accepted the privacy policy.

Third-Party Websites 

Skills4Hockey is not responsible for the content of any websites or services of third-party vendors, any links contained in these websites or services, or any changes or updates to websites or services of third-party vendors. If Skills4Hockey offers links and/or access to websites and/or services of third-party vendors, it is solely for your convenience, and the inclusion of a link or access is not an implied endorsement by Skills4Hockey of websites or services of third-party vendors.

Rights of Third 

Parties Third-party vendors do not have any rights under the applicable laws to rely on or derive from any provision of these Terms and Conditions, but this does not affect the rights or remedies of a third-party vendor that are available or exist apart from such regulatory provisions.

Force Majeure 

Force majeure refers to circumstances that make it difficult to fulfill Skills4Hockey's obligations under these Terms and Conditions and are beyond the control of Skills4Hockey, including delayed or incomplete deliveries caused by circumstances that were beyond the reasonable control of Skills4Hockey. In a force majeure situation, all obligations of Skills4Hockey are suspended. If the period during which Skills4Hockey cannot fulfill its obligations due to force majeure lasts longer than ninety (90)" calendar days, both parties have the right to terminate the purchase agreement in writing without the obligation to pay compensation arising from or in connection with such termination. 

Survival 

All provisions in these General Terms and Conditions that, by their nature, extend beyond the termination or expiration of a sale or the license of the products, shall remain in effect.

Partial 

Invalidity If any provision of these General Terms and Conditions is deemed void, invalid, unenforceable, or illegal, the remaining provisions shall remain in full force. You and Skills4Hockey agree to the terms and conditions as a substitute for such ineffective provisions. These new General Terms and Conditions shall be construed in terms of their content and effect and shall, if possible, be in the original format, but in a manner that rights can indeed be derived from them.

Applicable Law 

These General Terms and Conditions and all disputes related to these General Terms and Conditions or the acquisition and use of the products or otherwise are governed by Swiss law. The United Nations Convention on Contracts for the International Sale of Goods is hereby excluded from application to these General Terms and Conditions. Each party hereby submits to the non-exclusive jurisdiction of the courts of Zurich with respect to all disputes arising from or in connection with this agreement.
